Job Summary
The Legal Specialist will provide legal support across day-to-day business operations and strategic initiatives. This role requires a strong understanding of commercial and corporate law, a pragmatic business mindset, and the ability to manage legal risks while enabling business growth in a fast-paced environment. The ideal candidate will have experience handling corporate legal matters, including fundraising, investment transactions, legal due diligence, and M&A-related activities.
Key Responsibilities
Legal Advisory
- Provide practical and business-oriented legal advice to support daily operations and strategic initiatives.
- Identify, assess, and mitigate legal and regulatory risks in alignment with business objectives.
Contract Management
- Draft, review, and negotiate commercial agreements, including NDAs, vendor agreements, client contracts, partnership agreements, service-level agreements (SLAs), and other business contracts.
- Ensure contractual terms align with business goals and the company’s risk appetite.
- Maintain, organize, and manage the company’s contract repository.
Corporate & Compliance
- Support corporate governance matters, including preparation and maintenance of corporate documents, board/shareholder resolutions, and regulatory filings.
- Ensure compliance with applicable laws and regulations, including corporate, employment, and commercial laws.
- Assist in internal and external audits, due diligence processes, and compliance reviews.
- Support corporate transactions, including fundraising activities, investment rounds, shareholder matters, corporate restructuring, and M&A transactions.
- Coordinate legal due diligence processes and assist in the preparation, review, and management of transaction-related documentation.
- Liaise with external legal counsel, investors, regulators, and other stakeholders as required.
Dispute & Risk Management
- Support the handling of legal disputes, claims, and complaints.
- Coordinate and liaise with external legal counsel when necessary.
- Maintain accurate documentation related to legal cases and risk management matters.
Regulatory Monitoring
- Monitor developments and changes in relevant laws and regulations.
- Translate legal and regulatory requirements into clear, practical, and actionable guidance for internal stakeholders.
Qualifications
- Bachelor’s Degree in Law.
- 2–6 years of experience in a legal role, either in-house or in a law firm.
- Demonstrated experience handling corporate legal matters, including fundraising, investment transactions, legal due diligence, corporate restructuring, or M&A-related activities.
- Strong understanding of Indonesian corporate, commercial, and contract law.
- Excellent legal drafting, contract review, and negotiation skills.
- Strong analytical thinking, attention to detail, and problem-solving capabilities.
- Ability to manage multiple legal matters simultaneously in a dynamic environment.
- Proficiency in English, both written and spoken, is preferred.
Ideal Candidate Profile
- Strong knowledge of contract law and corporate/commercial law.
- Hands-on experience supporting fundraising activities (Seed, Pre-Series A, Series A, or later-stage funding rounds), investment transactions, or M&A processes.
- Familiarity with legal due diligence, shareholder agreements, investment agreements, subscription agreements, and cap table-related matters.
- Able to balance legal risk management with business objectives.
- Comfortable working independently while collaborating effectively with cross-functional teams.
- Experience in startup, technology, venture-backed, or high-growth companies is highly preferred.
Compensation
Monthly Salary Range: IDR 8,000,000 – 10,000,000
